Terms of Service

1. Acceptance of Terms

By using the Prism GMS website, requesting a demo, or accessing our software platform, you agree to these Terms of Service. If you do not agree with these terms, you should not use the service.

2. Service Access

Prism GMS grants customers a limited, non-exclusive, non-transferable right to access and use the service for internal business purposes, subject to the applicable subscription, agreement, and these terms.

3. Customer Responsibilities

You are responsible for account activity, user permissions, and the accuracy of information entered into the platform. You must protect login credentials and notify us promptly if you believe an account has been compromised.

4. Acceptable Use

You agree not to misuse the service or attempt to interfere with its operation. This includes unauthorized access attempts, reverse engineering, introducing malicious code, or using the platform in violation of applicable laws.

• Do not share accounts in a way that bypasses subscription limits
• Do not copy, resell, or sublicense the platform without written permission
• Do not upload unlawful, infringing, or harmful content
• Do not interfere with security, availability, or other users' access

5. Fees and Billing

Paid subscriptions, implementation fees, or custom services are billed in accordance with the commercial terms agreed between Prism GMS and the customer. Unless otherwise stated in writing, fees are due in advance and may be non-refundable once services are delivered.

6. Availability and Changes

We aim to keep the platform reliable and secure, but we do not guarantee uninterrupted or error-free operation at all times. Prism GMS may update, improve, or modify features as part of ongoing product development.

7. Intellectual Property

Prism GMS and its related content, branding, software, and design elements remain the property of Prism GMS or its licensors. These terms do not transfer ownership rights to the customer.

8. Data and Confidentiality

Customer data remains the customer's responsibility. Prism GMS will handle submitted data in line with our Privacy Policy and applicable agreements, and we expect customers to avoid uploading information they are not authorized to process.

9. Limitation of Liability

To the maximum extent permitted by law, Prism GMS is not liable for indirect, incidental, special, consequential, or punitive damages arising from the use of the service. Our aggregate liability is limited to the amount paid for the relevant service period, unless a separate agreement states otherwise.

10. Termination

We may suspend or terminate access if these terms are violated, if payment obligations are not met, or if continued service would create security, legal, or operational risk. Customers may stop using the service in line with their subscription or agreement terms.

11. Updates to These Terms

Prism GMS may update these Terms of Service from time to time. Material updates will be reflected on this page, and continued use of the service after such updates means you accept the revised terms.
